Terms of Service

1. Acceptance of Terms

By creating an account, accessing, or using GeniusBooks (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, do not use the Service.

The Service is provided by Om369 LLC-FZ ("Om369", "GeniusBooks", "we", "us"), a company registered in the United Arab Emirates.

2. Description of Service

GeniusBooks is an AI-powered bookkeeping assistant that helps you perform accounting tasks in QuickBooks Online through natural-language requests. The Service is accessible via our web application, WhatsApp, and Telegram.

The Service is designed to assist with bookkeeping tasks. It does not constitute tax, legal, accounting, or financial advice. You should consult qualified professionals for such matters.

3. Eligibility & accounts

To use the Service, you must: (a) be at least 18 years of age or the age of majority in your jurisdiction; (b) have the legal capacity to enter into a binding agreement; and (c) not be prohibited from using the Service under applicable laws.

You must provide accurate, complete, and current information when registering. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at support@geniusbooks.ai if you suspect unauthorized access.

4. QuickBooks & third-party dependencies

GeniusBooks requires an active QuickBooks Online subscription, billed separately by Intuit Inc. We are not affiliated with, endorsed by, or sponsored by Intuit. QuickBooks® is a registered trademark of Intuit Inc.

Your use of QuickBooks Online is governed by Intuit's terms. We are not responsible for the availability, accuracy, or performance of QuickBooks or any other third-party service.

The Service integrates with third-party platforms (Stripe for payments, WhatsApp and Telegram for messaging). Your use of those platforms is governed by their respective terms.

5. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
• Use the Service to infringe upon or violate the rights of any third party.
• Submit data that you are not authorized to process or that violates the rights of others.
• Attempt to gain unauthorized access to the Service, other accounts, or our systems.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service.
• Interfere with or disrupt the integrity or performance of the Service.
• Use the Service to transmit viruses, malware, or other harmful code.
• Use automated means (bots, scrapers) to access the Service without our written permission.
• Resell, sublicense, or redistribute the Service without a separate written agreement.

6. AI output disclaimer

GeniusBooks uses artificial intelligence to generate responses and propose accounting actions. You acknowledge and agree that:

• AI outputs may contain errors, inaccuracies, or omissions.
• You are solely responsible for reviewing and approving every action before it is confirmed and written to your QuickBooks account.
• GeniusBooks does not guarantee the accuracy, completeness, or reliability of AI-generated content.
• The Service does not provide tax, legal, accounting, or financial advice. Always consult a qualified professional for such matters.
• You remain fully responsible for the accuracy of your books and compliance with applicable laws and regulations.

7. Subscriptions, billing & cancellation

Paid plans are billed in advance on a recurring basis (monthly or annually) through Stripe until cancelled. Prices are displayed before purchase and may be updated with 30 days' notice.

You may upgrade, downgrade, or cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period — you retain access until then.

Fees are non-refundable except where required by applicable law or as expressly stated in a promotional offer.

If payment fails, we may suspend access after providing reasonable notice and an opportunity to update payment information.

We may offer free trials or promotional pricing. At the end of a trial, your subscription converts to a paid plan unless you cancel before the trial ends.

8. Partner program

Accounting firms and professionals may join the GeniusBooks Partner Program. Revenue-share percentages, referral terms, payout schedules, and obligations are set out in the separate Partner Agreement provided upon acceptance into the program.

Partner benefits may be modified or discontinued with reasonable notice. Revenue share is confirmed before each payout.

9. Intellectual property

We (and our licensors) own all rights, title, and interest in the Service, including its software, algorithms, designs, documentation, trademarks, and other intellectual property.

You retain all rights to your data. By using the Service, you grant us a limited, non-exclusive, worldwide license to use, process, and display your data solely as necessary to provide and improve the Service.

Feedback, suggestions, or ideas you provide about the Service may be used by us without obligation or compensation to you.

10. Data & privacy

Our collection, use, and protection of your data is governed by our Privacy Policy (/legal/privacy), which is incorporated into these Terms by reference.

You represent that you have all necessary rights and consents to submit data to the Service, including any personal data of third parties (such as your customers' information in QuickBooks).

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant that AI outputs will be accurate or suitable for any particular purpose.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL OM369 LLC-FZ, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, REVENUE, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED US DOLLARS (USD $100), WHICHEVER IS GREATER.

These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Om369 LLC-FZ and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from: (a) your use or misuse of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your data submitted to the Service.

14. Termination

You may stop using the Service and close your account at any time by contacting support@geniusbooks.ai or through your account settings.

We may suspend or terminate your access immediately if: (a) you breach these Terms; (b) your use poses a security risk; (c) we are required to do so by law; or (d) we discontinue the Service.

Upon termination: (a) your right to use the Service ceases immediately; (b) we may delete your account data after a reasonable retention period (typically 30 days); (c) provisions that by their nature should survive termination will survive (including Sections 9, 11, 12, 13, 15, and 16).

15. Governing law & disputes

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates, without regard to conflict of law principles.

Any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates.

Notwithstanding the foregoing, we may seek injunctive or equitable relief in any court of competent jurisdiction to protect our intellectual property rights.

The controlling language of these Terms is English. Any translation is provided for convenience only and shall not control in the event of a conflict.

16. General provisions

Entire Agreement: These Terms, together with the Privacy Policy and any applicable order form or agreement, constitute the entire agreement between you and Om369 LLC-FZ regarding the Service.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

Assignment: You may not assign these Terms without our prior written consent. We may assign our rights and obligations without restriction.

Force Majeure: We are not liable for any delay or failure to perform resulting from causes beyond our reasonable control (e.g., natural disasters, war, government actions, internet disruptions).

Notices: We may provide notices to you via email, in-app notification, or posting on the Service. Notices to us should be sent to legal@geniusbooks.ai.

17. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and notify you by email or in-app notification at least 30 days before the changes take effect.

Your continued use of the Service after the effective date of revised Terms constitutes your acceptance. If you do not agree to the revised Terms, you must stop using the Service.
